Terms of Use

The Universal Reporting Network Limited (“TURN”), is a private limited company incorporated in England. Our registered office is at Dakota House 25 Falcon Court, Preston Farm Business Park, Stockton On Tees, Cleveland, United Kingdom, TS18 3TX, and our company number is 12664213.

TURN’s Terms of Use shall apply to the service and will be binding on the User and TURN when TURN makes the service available for User’s use. By using the service, you, the User, hereby automatically agree to be bound by the Terms of Use. 

Interpretation

  1. The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms of Use.

General Conditions

  • We reserve the right to refuse service to anyone for any reason at any time.
  • You agree not to reproduce, duplicate, copy, or exploit any portion of the Platform, use of the service, or access to the service or any contact on the Platform through which the service is provided without express written permission by us.
  • Platform” means TURN’s unified platform for financial data management.
  • These Terms of Use apply only to your use of the Platform. They do not create any contract between us and you relating to the offering of, or investment in, any funds product or services. TURN will have no responsibility or involvement in agreeing any terms relating to the offering of, or investment in, any fund products or services.

Who these Terms of Use apply to

  • These Terms of Use apply to all users of the platform (“Authorised Users”)
  • Primary User” refers to the contact at the organisation who has been invited to register on our platform and will be the main contact for all notices and other formal communications. The Primary User will be responsible for the administration of user access including without limitation the providing, updating and removing of authorised user access
  • Authorised users include our customers, their employees, contractors, affiliated entities, and any third party who has been invited by the Primary User or other authorised party to access the platform.

Personal Information

Our Platform

  1. We may occasionally update and change our Platform to reflect any changes to the templates or workflows that will reflect changes to regulation, our user’s needs, or new propositions. We will give you reasonable notice of any major changes. During this time, our Platform may be out of use for a short period of time.

Your obligations

  1. You must keep your account details safe.
    1. You shall keep your password secure for using the Platform and not share your login details with any unauthorised party.
    1. If you know or suspect that anyone other than you knows your user login details, you must promptly notify the Primary User of the organisation.
  2. You are solely responsible for procuring and maintaining your network connections for using the Platform. We are not liable for any delays caused by the internet.
  3. You are responsible for accessing the Platform and should use your own virus protection software.
  4. You shall respond as soon as reasonably practicable to notifications of inaccuracies sent by TURN and
  5.  in any event within two (2) Business Days or as soon as reasonably practicable of receiving notification of potential inaccuracy from TURN, provide updates to the Content where any incorrect date has been provided.
  6. Business Days” means Monday to Friday, excluding days when the banks are not open for
    business in London.
  7. Third-party users must adhere to data protection laws and regulations.
  8. Data accessed through the platform should be used only for the agreed-upon purpose.

Prohibited Uses

  • You are prohibited from using the Platform or its contents:
    • for any unlawful purpose;
    • to solicit others to perform or participate in any unlawful acts;
    • in any way that breaches any applicable local, national, or internal laws or regulations;
    • to infringe upon or violate our intellectual property rights or the intellectual property rights of others;
    • to submit false or misleading information
    • to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality of the Platform;
    • to send, knowingly receive, upload, download, use, or re-use any information which does not, or encourages others to not, comply with these Terms of Use;
    • for collecting, storing, or processing any personal data unless you have received prior consent from the individual whose personal data is being used. No special category personal data may be collected.

We reserve the right to terminate your use of the Platform for violating any of the prohibited uses.

Fair Use of Flagging Functionality 

The flagging function provided on TURN’s platform is intended for the responsible reporting of content that may be incorrect. By using this function, you agree to use it fairly and only for legitimate purposes. False reporting or misuse of the flagging function may result in suspension of your access to platform until the matter is resolved. 

In addition: 

  • It is strictly prohibited to use abusive language or any inappropriate content when raising and responding to a flag comment in the network. 
  • Users are urged not to exploit the flagging system to report minor issues that have little importance, influence, or effect on the data points reported.  
  • Do not name individuals or disclose personal data. 
  • If an open issue exists, do not re-flag the same item. 
  • The messaging service is strictly for data issues and should not be used as a general communication platform. 
  • When flagging content, users should provide accurate and detailed reasons for their action. This will help ensure the integrity and accuracy of the platform’s content.  
  • Users should not use the flagging function to retaliate against other users. Retaliation will not be tolerated and may result in suspension of access. 
  • Users should promptly flag any content they believe is incorrect or inappropriate. This will help ensure the integrity and accuracy of the platform’s content.  
  • Users are expected to cooperate fully with any investigations resulting from the flagging of content. 
  • If users are not satisfied with the response to a flag, they should have a clear escalation path to raise the issue with higher level of management in the appropriate organisation. 
  • TURN reserves the right to monitor the use of the flagging function and take appropriate action as deemed appropriate. 
  • TURN also reserves the right to remove any content or suspend user access if found in violation of these terms.  

The integrity of our platform relies on the accuracy and relevance of the content.  Occasionally, content may be flagged incorrectly. 

Therefore: 

  • User should be vigilant in identifying incorrect flags. If you believe that content has been incorrectly flagged, we encourage you to report it to TURN. 

Severability

  • In the event that any provision of these Terms of Use is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Use, such determination shall not affect the validity and enforceability of any other remaining provisions.

Data

  • You are solely responsible for the quality and accuracy of any data that you upload to the Platform. You assume all risks associated with any data uploaded, including anyone’s reliance on its quality, accuracy, reliability, appropriateness, or any disclosure that makes you or anyone else personally identifiable. You represent and warrant that you own or have the necessary rights, consents, and permissions to upload the data as described herein. You must not imply that your uploaded data are in any way sponsored or endorsed by us.
  • You shall not create a false identity or submit inaccurate or misleading information.

Termination

  • The obligations and liabilities of the parties incurred prior to any termination date shall survive the termination of this agreement for all purposes.
  • These Terms of Use are effective unless and until terminated by you or us. You may terminate these Terms of Use anytime by notifying us or the Primary User that you no longer wish to use our Platform.
  • If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Use, we also may terminate this agreement at any time without notice and accordingly may deny you access to our Platform (or any part thereof).

Entire Agreement

  • The failure of us to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.
  • These Terms of Use and any policies posted by us on this site or with respect to the Platform constitute an understanding between you and us and govern your use of the Platform.
  • Any ambiguities in interpreting the Term of Use shall not be construed against the drafting party.

Governing Law

  • These Terms of Use shall be governed by and construed in accordance with the laws of England and Wales.

Changes to the Terms of Use

  • You can review the most current version of the Terms of Use at any time on our website.
  • We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms of Use. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Platform after posting any changes to these Terms of Use constitutes acceptance of those changes.
